Dear Fred,

The deal has been officially closed on Dec. 2, 2004. EaglePicher Kokam Ltd. (EP Kokam) is the new company name in place of Kokam Engineering Ltd.

FMA Direct wlll be a valued distrbutor for EaglePicher Kokam Ltd. RC battery products. There is no changes of business relationship between FMA and EP Kokam, but better services than before. I am very encouraged by recent revenue increase with EP Kokam products by FMA and hope to continue this trend. E-P Kokam requests that you to use E-P Kokam on your webpages, effective immediatley instead of Kokam USA.

EAGLEPICHER INCORPORATED AND KOKAM ENGINEERING SIGN ACQUISITION AND LICENSING AGREEMENTS

PHOENIX, Ariz., October 4, 2004
− EaglePicher Incorporated has signed an agreement to acquire a controlling interest in Kokam Engineering Company, Ltd. (Seoul, South Korea), a manufacturer of advanced rechargeable lithium-ion battery technology. The transaction is expected to close in December 2004. Additionally, EaglePicher has signed an exclusive agreement to license Kokam’s technology for government applications worldwide. EaglePicher will sell Kokam products globally outside of North Asia for industrial, commercial, and selected defense applications. In addition, Kokam will distribute selected EaglePicher-branded products in North Asia.

“These agreements represent the next step in EaglePicher’s strategy to broaden its portfolio of lithium-ion power solutions,” said John Weber, president and CEO of EaglePicher Incorporated. “We see an increasing interest in lithium-ion technology, due to its low selfdischarge, extended lifespan, light weight, rechargeability, low maintenance and environmental friendliness. We believe EaglePicher’s customers will benefit from Kokam’s patented lithiumion pouch cell and battery packaging technology and the quality built into Kokam’s products through its outstanding automated production engineering technology.”

Kokam’s unique technology results in flexible form factors and exceptionally high rate capability compared to other lithium-ion technology. Initial uses for this technology include electric and hybrid electric vehicles, motive, remote power, uninterruptible power supplies, radio-controlled devices and external medical applications. EaglePicher will also apply this technology to defense applications appropriate for lithium-ion batteries, including military communications systems and other portable applications.

According to a report from Business Communications Company, Inc. (www.bccresearch.com) RGB-210N Lithium Batteries: Materials and Markets, the U.S. lithium battery market is estimated at $2.1 billion in 2004. Rising at an average annual growth rate (AAGR) of 4.7%, this market will reach $2.7 billion in 2009.
